PRELIMINARY STATEMENT

Midwestern Gas Transmission Company (Midwestern) is a natural gas transmission

company, engaged in the business of transporting natural gas in interstate commerce.

Midwestern's system extends in a northerly direction from a point near Portland,

Tennessee, through the States of Tennessee, Kentucky, Indiana, and Illinois to its

terminus at a point near Joliet, Illinois.
