amounts) equal to the product of the adjustment quantity

times the one hundred percent (100%) Cashout Price for the

Service Month to which the adjustment applies. If the

adjustment results in a decrease in the measured quantity,

such operator or producer shall pay Transporter an amount

equal to the product of the adjustment quantity times the

one hundred percent (100%) Cashout Price for the Service

Month to which the adjustment applies. Provided, however,

that Transporter and the operator of the Receipt Point, or

the producer, may agree to resolve the adjustment with Gas

in-kind.

(c) If an adjustment is required at a Delivery Point, such

adjustment shall be allocated to the operator of facilities

immediately downstream of that Delivery Point.
