ARTICLE XVII - MISCELLANEOUS (Continued)

17.3 Amendment in Writing. The Transportation Service Agreement shall be

amended only by an instrument in writing executed by both parties

hereto.

17.4 Waiver of Defaults. No waiver by any party of any one or more defaults

by the other in the performance of any provisions of this Rate Schedule

or the Transportation Service Agreement shall operate or be construed as

a waiver of any future default or defaults, whether of a like or of a

different character.

17.5 Exhibits. The exhibits to the Transportation Service Agreement are

incorporated by reference as if set forth in full therein.

17.6 Limitation of Liability. Any recourse for any liability of Transporter

shall be against Transporter only, to the exclusion of any parent or

affiliate of Transporter, and shall be limited to the assets of

Transporter.

17.7 Choice of Law. The Transportation Service Agreement shall be construed

according to the laws of the State of Utah, except insofar as such laws

may refer to the laws of another jurisdiction for resolution of any

issue arising hereunder.

17.8 Headings. The headings of the Articles and Sections of this Rate

Schedule and Transportation Service Agreement are inserted for

convenience of reference only and shall not affect the meaning or

construction thereof.
