19.5 Notices. All notices provided for herein shall be given in writing and

addressed as follows:

If to Shipper:

19.6 Amendment in Writing. The Transportation Service Agreement shall be

amended only by an instrument in writing executed by both parties

thereto.

19.7 Waiver of Defaults. No waiver by any party of any one or more defaults

by the other in the performance of any provisions of this Rate Schedule

or the Transportation Service Agreement shall operate or be construed as

a waiver of any future default or defaults, whether of a like or of a

different character.

19.8 Conflict of Interest. No director, employee or agent of either party to

the Transportation Service Agreement shall give or receive any

commission, fee, rebate, gift or entertainment of significant cost or

value in connection with the Transportation Service Agreement. Any

representative(s) authorized by either party may audit the applicable

records of the other party solely for the purpose of determining whether

there has been compliance with this paragraph.

19.9 Exhibits. The exhibits to the Transportation Service Agreement are

incorporated by reference as if set forth in full therein.
