12. GAS RESEARCH INSTITUTE ADJUSTMENT, FERC ANNUAL

CHARGE ADJUSTMENT AND DEFERRED ASSET SURCHARGE

12.1 RESERVED FOR FUTURE USE

12.2 ACA Adjustment. The rates set forth in the RTS,

ITS, HUB and PAL Rate Schedules shall be adjusted from time

to time to reflect the annual charge assessed Transporter

by the FERC pursuant to Order No. 472 or any other

superseding rule or order.

(a) The current ACA Adjustment shall be the unit

amount, adjusted as necessary for heating value and

pressure base, which the FERC orders to be effective for

the fiscal year commencing on the effective date of the

adjustment.

(b) Transporter shall retain all revenues

collected under this Section 12.2. Except as provided by

this Section 12.2 Transporter shall not have the right to

seek to recover in any proceeding under Section 4 (e) of

the Natural Gas Act any such costs recorded in its FERC

Account No. 928.

also transported by Transporter and subject to an ACA rate

adjustment charge for such transportation.
