Preliminary Statement

Iroquois Gas Transmission System, L.P. is a natural gas

pipeline company principally engaged in the business of

transporting natural gas in interstate commerce, under

authorization granted by and subject to the jurisdiction of the

Federal Energy Regulatory Commission. Its pipeline system

extends in a southeasterly direction from its point of

interconnection with the facilities of TransCanada PipeLines

Limited near Iroquois, Ontario, through the States of New York

and Connecticut, across Long Island Sound to South Commack, New

York and extending to Hunts Point, New York.
