PRELIMINARY STATEMENT

Granite State Gas Transmission, Inc. is a natural gas

transmission company, principally engaged in the business of

rendering unbundled merchant and transportation services of

natural gas in the States of Massachusetts, Maine, and New

Hampshire.

Granite State's transmission system connects with Tennessee Gas

Pipeline Company in Haverhill, Massachusetts and with the Portland

Natural Gas Transmission System and Maritimes and Northeast -

Joint Facilities in Newington, New Hampshire and Westbrook, Maine.

The system extends northeasterly through the coastal areas of New

Hampshire and Maine to the vicinity of Portland, Maine.
