10. SERVICE REQUESTS AND CONTRACTING FOR SERVICE (Continued)

(d) Any Service Agreement entered into pursuant to

Section 10.6(b) or 10.6(c) above shall not be

subject to the right of first refusal under Section

23 of these GT&C, except to the extent that the

term of Shipper's Service Agreement is less than

the duration of the applicable waiver established

pursuant to Section 10.6(a)(2), above, and Shipper

is otherwise eligible for a right of first refusal

under Section 23 of these GT&C, in which event

Shipper may only exercise its right of first

refusal to extend its Service Agreement for a term

that does not exceed the duration of the applicable

waiver.
