Interest applicable to such bill will be invoiced to Shipper,
pursuant to Section 8 of General Terms and Conditions, to the
extent that the amount of interest is $25 or more.
If any portion of an amount so paid to Transporter by Shipper is
finally determined to be repayable to Shipper, Transporter shall
pay or credit such amount to Shipper, together with interest
thereon computed at the rate of interest set forth in Section
154.501(d) of FERC's regulations and accrued from the date
payment thereof was made by Shipper to Transporter to the date
payment or credit thereof is made by Transporter.
8.4 Suspension of Transportation in the Event of Default
(a) If Shipper's failure to make payment continues for
twenty (20) Days or more, Transporter may suspend the
further transportation of Natural Gas upon
fifteen (15) Days' prior written notice to Shipper and
the Commission, but the exercise of such right shall
be in addition to any other remedy available to
Transporter; provided, however, that if Shipper, in
good faith, shall dispute the amount of any such bills
or parts thereof and shall pay to Transporter in a
timely manner such amounts as it concedes to be
correct (accompanied by supporting documentation,
including invoice number, remittance detail which
Transporter shall follow in applying such payment, and
the basis for dispute) and, at any time thereafter
within thirty (30) Days of a demand made by
Transporter, shall furnish a good and sufficient
surety bond in an amount and with sureties
satisfactory to Transporter conditioned upon the
payment of any amounts ultimately found due after a
final determination, which may be reached either by
agreement or by an arbitration award or a judgment of
the courts, as the case may be, then Transporter shall
not be entitled to suspend further delivery of Natural
Gas unless and until default be made in the conditions
on such bond. In the event it is finally determined
or agreed that no payments were due from Shipper on
such disputed bills, then Transporter will reimburse
Shipper for the cost of procuring the surety bond
within ten (10) Days after receipt of a detailed
invoice thereof from Shipper.
