PRELIMINARY STATEMENT

Effective April 6, 1990, Great Lakes Gas Transmission Limited

Partnership (Great Lakes) became the successor and assignee of Great Lakes

Gas Transmission Company. Great Lakes was certificated to construct and

operate a pipeline system extending from the international boundary near

Emerson, Manitoba, to Sault Ste. Marie, Michigan and St. Clair, Michigan. By

means of such facilities, Great Lakes is authorized to transport natural gas

in interstate commerce.
