PRELIMINARY STATEMENT

The Mobile Bay Pipeline Company (Mobile Bay), a corporation organized and

existing under the laws of the State of Delaware, is a natural gas company

engaged in the business of transporting natural gas owned by Shippers from

interconnections with processing plants in the vicinity of Mobile Bay, Mobile

County, Alabama.

The transportation of natural gas in interstate commerce is pursuant to

authority granted by the Federal Energy Regulatory Commission to Mobile Bay

to perform such service under the terms of Service Agreements between Shipper

and Mobile Bay.
