6.5 Injection of Storage Gas shall not be required by
Northwest at times when to do so would necessitate curtailment of
service by Northwest to any firm sales or firm transportation
customer served by Northwest or when it would otherwise
adversely affect the operation of Northwest's system.
6.6 In the event of the occurrence of a "force majeure"
condition, as defined by ARTICLE XII hereof, by any cause beyond
Northwest's control, which renders it impossible for Northwest to
maintain minimum pipeline pressures and service required to
supply firm service to any of Northwest's customers, Northwest
shall have the right to withdraw Working Gas in such quantities
and at such rates as required to restore and maintain minimum
pressure and service; provided, however, that such withdrawals
shall not jeopardize the integrity of the Storage Project.
Withdrawals of Working Gas for delivery to Water Power and
Washington Natural may be curtailed to the extent necessary
during such emergency. Northwest shall not withdraw any Cushion
Gas or reduce the volume thereof below that last previously
determined by the Committee, unless otherwise approved by the
parties hereto. Northwest shall promptly use its best efforts to
repair any such damage or impairment and shall promptly restore
to the Storage Project the amount of Working or Cushion Gas so
withdrawn by Northwest.
ARTICLE VII
Apportionment of Storage Project Capital Costs, Operating
Expenses and Losses
7.1 All capital costs, including Cushion Gas, shall be
borne and paid for by each party to this Agreement on the basis
of one-third (1/3) each.
7.2 All maintenance and operating expenses, except the
cost of gas for normal operations and compressor fuel, shall be
borne and paid for by each party to this Agreement on the basis
of one-third (1/3) each; provided, however, that each year the
parties shall review the reasonableness of sharing maintenance
and operating expenses on a one-third (1/3) basis.
7.3 Northwest shall be solely responsible for supplying the
gas used in normal operations of the Storage Project, including
compressor fuel.
