36. OFF-SYSTEM PIPELINE CAPACITY

From time to time, Transporter may enter into Transportation and/or

storage agreements with other interstate or intrastate pipeline

companies (individually, an "off-system pipeline"). In the event that

Transporter acquires capacity on an off-system pipeline, Transporter

will use such capacity for operational reasons and will only render

Transportation Service to Shippers on the acquired capacity pursuant to

Transporter's Tariff and subject to Transporter's approved rates, as

such Tariff and rates may change from time to time. For purposes of

Transportation Service on an off-system pipeline, the "shipper must have

title" requirement is waived, permitting a Shipper utilizing such

service to have title to the Gas on such off-system pipeline.
