ARTICLE XII

Miscellaneous

12.1 (a) This Agreement shall bind and benefit the successors and assigns of the

respective parties hereto; provided however, that neither party shall assign

this Agreement or any of its rights or obligations hereunder without first

obtaining the written consent of the other party, which consent shall not

be unreasonably withheld.

(b) Shipper may also assign its rights under the Final Rate Cap but only in the

event that such assignment is to third party that has a Moody's credit rating

equal to or greater than that of Shipper.

12.2 No waiver by either party of any one or more defaults by the other in the

performance of any provisions of this Agreement shall operate or be construed as a waiver of any

future defaults of a like or different character.

12.3 This Agreement contains Exhibits A and B which are incorporated fully herein.

12.4 THIS AGREEMENT SHALL BE GOVERNED BY AND INTERPRETED IN ACCORDANCE WITH THE LAWS OF

THE STATE OF TEXAS, WITHOUT REFERENCE TO ANY CONFLICT OF LAWS DOCTRINE WHICH WOULD APPLY THE LAWS

OF ANOTHER JURISIDCTION.

ARTICLE XIII

Superseding Prior Service Agreements

This Agreement supersedes and cancels the following Service Agreements between Transporter

and Shipper:
