11.4 THIS AGREEMENT SHALL BE GOVERNED BY AND INTERPRETED IN ACCORDANCE

WITH THE LAWS OF THE STATE OF TEXAS.

11.5 The provisions of the General Terms and Conditions of Transporter's

Tariff, as they may be amended from time to time shall apply to and be

incorporated herein.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement by

their duly authorized officers effective as of the date first written above.
