ARTICLE XIII

Miscellaneous

13.1 This Agreement shall bind and benefit the successors and assigns of

the respective parties hereto; provided however, neither party shall assign

this Agreement or any of its rights or obligations hereunder without first

obtaining the written consent of the other party.

13.2 No waiver by either party of any one or more defaults by the other

in the performance of any provisions of this Agreement shall operate or be

construed as a waiver of any future defaults of a like or different character.

13.3 This Agreement contains Exhibits A and B (and NNTS Addendum, if

applicable) which are incorporated fully herein.

13.4 THIS AGREEMENT SHALL BE GOVERNED BY AND INTERPRETED IN ACCORDANCE

WITH THE LAWS OF THE STATE OF TEXAS.
