(f) Unless otherwise agreed upon in writing by
Transporter, Shipper shall remain liable for any and
all actions or failures to act of Shipper's designee,
including liability for all charges under Shipper's
Service Agreement.
2. At Transporter's request, Shipper shall permit Transporter
to name a designee to perform Transporter's obligations with
regard to nominations, scheduling, invoicing, and/or
receiving payment. Transporter shall not name more than one
designee to perform each such specified obligation under any
Service Agreement. Transporter shall remain liable for any
and all actions or failures to act of Transporter's
designee. Payment to Transporter's designee by Shipper
shall be deemed payment in full of all such amounts due
Transporter. Transporter specifically disclaims any right
or claim to be paid with regard to payment of amounts paid
by Shipper to Transporter's designee.
11. MULTIPLE DIVISION CONTRACTS
A single Shipper having multiple divisions or plants (Divisions) may
contract with Transporter for service under a single Service Agreement.
Any such Service Agreement for firm service shall separately state the
seasonal MDTQs for each individual Division. The stated MDTQ shall
represent Shipper's Primary Delivery Point quantities and shall
establish Transporter's firm obligation to make available for delivery
volumes at such divisions or plants. The Service Agreement shall also
specify a total seasonal MDTQ. The aggregate MDTQ for all Divisions or
plants shall not exceed the total MDTQ stated in the Service Agreement,
but Shipper may shift entitlements from one Division or plant to another
designated by Shipper if operating conditions and pipeline capacity so
permit and if such a shift of entitlements does not affect Transporter's
ability to render firm service to other customers. Shipper may nominate
and Transporter may schedule such deliveries at a particular Division in
excess of the divisional MDTQ, provided the total scheduled quantity for
the Service Agreement does not exceed the total contractual MDTQ.
