INTERRUPTIBLE LATERAL TRANSPORTATION AGREEMENT

(For Use Under Rate Schedule IT-L)

6. The interpretation and performance of this Agreement shall be in accordance with and

controlled by the laws of the state of Tennessee, without regard to choice of law doctrine

that refers to the laws of another jurisdiction.

7. As of the effective date provided above, this Agreement supersedes and cancels the

Agreement(s) between Shipper and Transporter dated ____________.

IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be signed by their

respective Officers and/or Representatives thereunto duly authorized to be effective as of the

date stated above.
