STATEMENT OF NEGOTIATED RATES

Customer Name: GeoMet, Inc.

Contract Number: 410290 1/

Rate Schedule: FT-L

Demand Rate: The Monthly Demand Rate (per Dth/d) during the term of this negotiated rate shall

be as follows: $3.496 from the commencement of the term of this negotiated rate to

September 30, 2007; $3.800 from October 1, 2007, to July 31, 2008; and $4.3776 from August

1, 2008, to the end of the Primary Term of the Service Agreement. 2/

Commodity Rate: The Commodity Rate shall be the maximum applicable Commodity Rate and all

applicable charges and mandatory surcharges (such as the FERC Annual Charge Adjustment) and

fuel and lost and unaccounted for gas as set forth in Transporter's FERC Gas Tariff as

revised from time to time. Shipper shall not be charged for any voluntary surcharges such

as the GRI Rate Adjustment. 2/

Term of Negotiated Rate: The term of this Negotiated Rate extends from the commencement of

service under the Service Agreement and continues for the Primary Term of 15 years.

1/ The designated service agreement does not deviate in any material respect from the Form of

Service Agreement contained in Transporter's Tariff.

2/ In consideration of the rates set forth above, the applicable Demand Rates for service

under the Service Agreement during the term of this negotiated rate shall remain as stated

above. Therefore, pursuant to Section 4.5 of Rate Schedule FT-L and Section 49 of the

General Terms and Conditions of Transporter's FERC Gas Tariff, the Demand Rates set forth

above shall constitute Negotiated Rates.
