a credit equal to 50% of total annual Net Revenues under Rate Schedule IT-L, until

Shipper's pro rata share of total annual Net Revenues under Rate Schedule IT-L is less

than 50% of total annual Net Revenues under Rate Schedule IT-L, at which time such credit

under this negotiated rate agreement shall be equal to Shipper's pro rata share of total

annual Net Revenues under Rate Schedule IT-L. "Net Revenues" shall mean all revenue

received by Transporter for interruptible transportation service, less variable costs and

applicable surcharges. Any credits due shall be made within 90 days following each

anniversary of the Implementation Date and shall include interest at the Commission's

approved interest rate.
