21. Miscellaneous Provisions
21.1 Applicable Law and Authorities
(a) This Tariff, including the Rate Schedules, the General Terms
and Conditions, and the obligations under any service
agreements under this Tariff is subject to all valid laws,
orders, rules, and regulations of any duly constituted
authority having jurisdiction. The validity, construction,
interpretation and effect of any Service Agreement covered
by this Tariff shall be governed by the substantive laws of
the State of Texas, the parties agree that Texas' choice of
law rules may not be used to direct or determine that some
other States' law shall govern a dispute arising hereunder.
(b) This Tariff and any agreement executed with respect thereto,
is expressly made subject to all present and future valid
rules, laws, regulations, opinions, decisions or orders of
any regulatory body having jurisdiction.
(c) Customer shall provide Gulf Crossing with all information
required for Gulf Crossing to comply with the FERC's
reporting requirements.
21.2 Assignments - Any entity which shall succeed by purchase, merger
or consolidation to the properties, substantially as an entirety,
of Gulf Crossing or Customer, shall, if eligible, succeed to the
rights and obligations of its predecessor in title under a service
agreement. Either party may pledge a service agreement under the
provisions of any mortgage, deed of trust, indenture, or similar
instrument which it has executed or may execute hereafter covering
substantially all of its properties; otherwise, neither party
shall assign a service agreement or any of its rights or
obligations thereunder without the consent in writing of the other
party which consent shall not be unreasonably withheld. Upon
assignment, the rights and obligations of the parties under a
service agreement shall be binding upon the successors and assigns
of those parties.
