ARTICLE VII

NONRECOURSE OBLIGATIONS

Pooler acknowledges and agrees that (a) Company is a

Delaware limited liability company; (b) Pooler shall have

no recourse against any member of Company with respect to

Company's obligations under this agreement and its sole

recourse shall be against the assets of Company,

irrespective of any failure to comply with applicable law or

any provision of this Agreement; (c) no claim shall be made

against any member of Company under or in connection with

this Agreement; (d) Pooler shall have no right of

subrogation to any claim of Company for any Capital

Contribution from any member of Company; and (e) this

representation is made expressly for the benefit of the

members in Company.

ARTICLE VIII

MISCELLANEOUS

8.1 No waiver by Company or Pooler of any default of either

party under this Agreement shall operate as a waiver of any

subsequent default whether of a like or different character.

8.2 The laws of the State of Texas (excluding choice of law

provisions) shall govern the validity, construction,

interpretation and effect of this Agreement.

8.3 Exhibits I and II are attached hereto and incorporated

herein.

8.4 No modification of or supplement to the terms and provisions

hereof shall become effective except by execution of a

supplementary written agreement between the parties.
