to a party at the applicable address, telephone number or facsimile machine

number stated in Exhibit II hereto or such other addresses, telephone numbers

or facsimile machine numbers as the parties shall respectively hereafter

designate in writing from time to time.

ARTICLE V

TERM

5.1 Subject to the provisions hereof, this Agreement shall become effective as of

the date first written above, and shall remain in full force and effect for a

primary term of one month and shall continue and remain in force and effect

for successive terms of one month each thereafter unless and until canceled

by either party giving written notice at least five (5) days prior to the end

of the primary term or any monthly extension thereof. The provisions for

correcting imbalances or paying penalties which accrue prior to the

termination date of this Agreement shall survive the termination of this

Agreement.

ARTICLE VI

CONDITIONS OF SERVICE

6.1 This Agreement is subject to all present and future valid laws and orders,

rules, and regulations of any regulatory body having or asserting

jurisdiction herein. After the execution of this Agreement, each party shall

make and diligently prosecute, all necessary filings with federal or other

governmental bodies, or both, as may be required for the initiation and

continuation of the service which is the subject of this Agreement. In the

event all necessary regulatory approvals are not issued on terms and

conditions acceptable to Company and Pooler, either party may terminate this

Agreement without further liability or obligation to the other party by

giving written notice within thirty (30) days after receipt of the
