may receive service under Rate Schedule FT-1 (MP) if

Shipper prepays for such service or furnishes good

and sufficient security, as determined by

Transporter in its reasonable discretion, in an

amount equal to the cost of performing the service

requested by Shipper for a three month period. For

purposes herein, the insolvency of a Shipper shall

be conclusively demonstrated by the filing by

Shipper or any parent entity thereof (hereinafter

collectively referred to in this Subsection 6.3(b)

as "the Shipper") of a voluntary petition in

bankruptcy or the entry of a decree or order by a

court having jurisdiction in the premises adjudging

the Shipper bankrupt or insolvent, or approving, as

properly filed, a petition seeking reorganization,

arrangement, adjustment or composition of or in

respect of the Shipper under the Federal Bankruptcy

Code or any other applicable federal or state law,

or appointing a receiver, liquidator, assignee,

trustee, sequestrator (or other similar official) of

the Shipper or of any substantial part of its

property, or the ordering of the winding-up or

liquidation of its affairs, with said order or

decree continuing unstayed and in effect for a

period of sixty (60) consecutive days.

6.4 Prepayment for Service:

(a) Any person requesting firm service under Rate

Schedule FT-1 (MP) must, along with the request,

submit a check made out to Transporter in an amount

equal to the total reservation charge(s) applicable

to the proposed service for the initial one month

period. All such prepayments made to Transporter

are to be sent to Transporter's designated bank at

an address to be furnished by Transporter.

Remittance should reference the Shipper's request ID

number (to be furnished by Transporter).

(b) If Transporter determines that firm capacity is

available to satisfy a request, then Transporter

shall notify Shipper in writing of Transporter's

acceptance of Shipper's request for service. A FT-1

(MP) Transportation Service Agreement shall be

executed between Transporter and Shipper. As of the

effective date of the FT-1 (MP) Transportation

Service Agreement, the entire amount of the

prepayment (with interest in the case of requests

for service received on or before 3:00 p.m. CCT on

May 2, 1997) shall be credited to Shipper's billing

statements during the first months which the

Transportation Service Agreement is in effect until

the total amount of the prepayment (with interest in

the case of requests for service received on or

before 3:00 p.m. CCT on May 2, 1997) is credited to

Shipper's billing statements. In the event that the
