STANDARDS OF CONDUCT FOR INTERSTATE

PIPELINES WITH MARKETING AFFILIATES

This section implements the requirements of FERC Order Nos. 497, et.

seq.

1. OPERATING PERSONNEL AND FACILITIES SHARED WITH MARKETING

AFFILIATES

Crossroads Pipeline provides the following information regarding

operating personnel and facilities shared with marketing

affiliates. Crossroads has four marketing affiliates: NIPSCO

Energy Trading Company ("NETCO"), NI-TEX, Inc. ("NI-TEX"), NESI

Energy Marketing, L.L.C. ("NEM"), and Northern Indiana Public Service

Company ("Northern Indiana").

1.1 Operating Personnel

Crossroads shares no operating personnel with any of its

marketing affiliates.

1.2 Facilities

Crossroads is located in the same building with its three marketing

affiliates, NETCO, NI-TEX and NEM, which is located at 801 East 86th

Avenue, Merrillville, Indiana 46410. Crossroads is located on the

same floor as certain administrative employees of Northern Indiana

in the building located at 801 East 86th Avenue, Merrillville,

Indiana 46410.
