FOR CONSTRUCTION OF TRANSMISSION FACILITIES

AND FOR FACILITY CHARGES

THIS AGREEMENT, made and entered into as of the ____ day of _____________,

20___, by and between CROSSROADS PIPELINE COMPANY, (hereinafter called

Transporter), and ___________________________________________________,

(hereinafter called Shipper):

W I T N E S S E T H:

WHEREAS, the parties hereto have executed a Service Agreement dated

_________________________________ wherein Transporter has agreed to sell

and deliver and Shipper has agreed to purchase and receive certain

quantities of natural gas ________________________________________________.

NOW, THEREFORE, in consideration of the mutual covenants herein contained,

the parties hereto agree as follows:

Section 1. Facilities.

Section 2. Facility Charges. In consideration of

Shipper hereby agrees to pay Transporter for the costs of such facilities

in accordance with the provisions of Section 27 of the General Terms and

Terms and Conditions are by reference made a part hereof.

This Agreement supersedes and cancels
