11. General Terms And Conditions.

This Agreement and all terms for service hereunder are subject to the further provisions of the

applicable Rate Schedule and the General Terms and Conditions of Crossroads' Tariff, as may be modified,

supplemented, superseded or replaced generally or as to the service hereunder. Crossroads reserves the right

from time to time to unilaterally file and to make effective any such changes in the provisions of the

applicable Rate Schedules and the General Terms and Conditions, subject to the applicable provisions of the

Natural Gas Act and the Commission's Regulations thereunder. Such Rate Schedule and General Terms and

Conditions, as may be changed from time to time, are by this reference incorporated in their entirety into

this Agreement and made an integral part hereof.

12. Special Agreements. (a) Other agreements between Transporter and Replacement Shipper not

inconsistent with Transporter's Tariff, or with the Release Notice underlying this Assignment Agreement, and

(b) other terms and conditions specified in the Release which are applicable to this Assignment Agreement,

are as follows:

13. Applicable Law. This Agreement shall be construed and interpreted under the laws of the State of West

Virginia.

Note: Appendix A, attached hereto and incorporated herein by reference, shall be Transporter's form of

Appendix A set forth in Transporter's Tariff pertaining to Transporter's Rate Schedule under which the service

assigned in this Assignment Agreement is released by Transporter, completed to describe the capacity and

service rights assigned to Replacement Shipper under this Assignment Agreement.
