NEGOTIATED RATES

BP Energy Company (BP) - LTD3005.

B. Negotiated Rate or Rate Formula:

BP shall pay Operator a reservation charge of $2.27 per Dth per

month on a year-round basis for each Dth of ISQ, with reservation

charge credits of $0.0746 per Dth for each Dth of nominated ISQ

that Operator fails to provide on any day that is not expressly

excused pursuant to the provisions of Rate Schedule LTD-1 or

other provisions of Operator's FERC Gas Tariff.

F. Contract Quantities:

A Maximum Incremental Sendout Quantity ("ISQ") of 83,333 Dth per

The effective service agreement does not deviate in any material

aspect from the form of service agreement in this tariff.
