GENERAL TERMS AND CONDITIONS

Negotiated Rates

39.19 Contract 200550, effective the in-service date of the Rural

Valley Project (CP09-10), and continuing for a primary term of

six (6) years.

A. Company Name: The Peoples Natural Gas Company

B. Negotiated Rate or Rate Formula: In lieu of the incremental

firm transportation reservation rate, Customer shall pay a

negotiated firm base reservation rate of $14.7605 per Dt of

MDTQ. Customer shall pay all applicable surcharges, including

the maximum fuel retainage rate

C. Applicable Rate Schedules:

FT Rate Schedule - Rural Valley

D. Receipt Point:

Truittsburg Interconnection: Up to 10,000 Dt per Day

Rural Valley Interconnection: Up to 25,000 Dt per Day

E. Delivery Point:

Oakford Interconnect: Up to 35,000 Dt per Day

F. Contract Quantities:

Maximum Daily Transportation Quantity of 35,000 Dt

Maximum Annual Transportation Quantity of 12,775,000 Dt

G. Affirmation:

This effective service agreement deviates from the form of

service agreement in this Tariff, as described in Pipeline's

filing in Docket No. RP09-1070.
