GENERAL TERMS AND CONDITIONS

Negotiated Rates

39.18 Contract E00421, effective the in-service date of the TL-263 Expansion Project (CP07-10), and

continuing for a primary term of fifteen (15) years.

A. Company Name:

Dominion Exploration & Production, Inc. ("DEPI")

B. Negotiated Rate or Rate Formula:

The Usage Charge for service shall be $0.3030 per Dt. If DEPI fails to deliver a minimum

daily quantity of 6,250 Dt per day (Minimum Quantity) to the Points of Delivery defined

below during any day during the billing month, DEPI will pay the Usage Charge of $.3030 per

Dt for each Dt of the difference between the Minimum Quantity and the quantity actually

delivered for that particular day. This negotiated Usage Charge shall apply regardless of

whether the gas will be transported through and downstream of the Aggregation Point, as

defined in Section 11.E of DTI's FERC Gas Tariff. DEPI shall pay Pipeline all other

applicable rates, charges, surcharges and penalties pursuant to Rate Schedule IT effective

from time to time.

D. Receipt Points:

1. Up to 500 Dt per day (20.8 Dt per hour) at the Pond Fork Interconnection between TL-

263 and DEPI near Farley Branch Road, Boone County, WV

2. Up to 1,250 Dt per day (52.1 Dt per hour) to be delivered into Pipeline's gathering

line H-17917 at MID No. 2155101 north of Bolt Station for ultimate delivery into

Pipeline's transmission system at or near its Loup Creek compressor station

3. Up to 500 Dt per day (20.8 Dt per hour) to be delivered into a new interconnection

with Pipeline's gathering line TL-282 approximately 3 miles east of Bolt Station for

ultimate delivery into Pipeline's transmission system at or near its Loup Creek

compressor station

4. Up to 1,000 Dt per day (41.7 Dt per hour) to be delivered into several connections on

gathering line H-17837 for ultimate delivery into Pipeline's transmission system at or

near its Loup Creek compressor station

5. Up to 500 Dt per day (20.8 Dt per hour) to be delivered into Pipeline's gathering line

H-18155 at MID No. 2157701 for ultimate delivery into Pipeline's transmission system

at or near its Oscar Nelson compressor station

6. Up to 1,500 Dt per day (62.5 Dt per hour) to be delivered into Pipeline's gathering

system behind Shadd and Searls Stations for ultimate delivery into Pipeline's

transmission system at or near its Oscar Nelson compressor station

7. Up to 1,000 Dt per day (41.7 Dt per hour) to be delivered into Pipeline's gathering

system behind Panther Creek Station for ultimate delivery into Pipeline's transmission

system at or near its Oscar Nelson compressor station.

E. Delivery Point:

Pipeline's South Point and Aggregation Point known as Appalachia Pooling South Point

F. Contract Quantities:

Maximum Daily Transportation Quantity of 6,250 Dt

Maximum Annual Transportation Quantity of 2,281,250 Dt

G. Affirmation:

The effective service agreement does not deviate in any material aspect from the form of

service agreement in this tariff.
