GENERAL TERMS AND CONDITIONS

Negotiated Rates

39.13 Contract 8G270S, effective January 1, 2008, through December 31, 2011.

A. Company Name:

Dominion Field Services, Inc. ("DFS"), (Pool Operator for Penn Virginia Oil & Gas

Company ("Penn"))

B. Negotiated Rate or Rate Formula:

For gathering service, DTI shall charge Penn or its current Pool Operator $0.40 per

Dt for the gross amount of gas delivered to DTI, plus 4.3% for fuel during the

period January 1, 2008, through December 31, 2011. For processing service, DTI

shall charge Penn or its current Pool Operator $0.20 per Dt, plus 0.5% fuel,

provided fuel for processing in 2008 shall be 0.6%. The negotiated rate only

relates to production received from Penn or its current Pool Operator at the

receipt points specified in section 39.13(D).

Quantities vary based on the volumes which flow behind the meter to the pool.

The effective service agreement does not deviate in any material aspect from the

form of service agreement in this tariff.
