GENERAL TERMS AND CONDITIONS

Negotiated Rates

39.9 Contract Dominion Field Services, Inc., effective January 1, 2009,

through December 31, 2011, extending from year-to-year thereafter unless

cancelled by either party with not less than twelve (12) months prior written

notice to the other party.

A. Company Name:

Dominion Field Services, Inc "DFS" (Pool Operator for XTO Energy,

Inc. "XTO")

B. Negotiated Rate or Rate Formula:

DTI shall charge XTO or its current Pool Operator for Gathering

service $0.554 per DT of metered receipts plus 4.3% of metered

receipts for fuel.

DTI shall also charge XTO or its current Pool Operator for

processing service 0.5% of metered receipts, all of which is fuel

retainage.

The negotiated rate only relates to production received from XTO

or its current Pool Operator at the receipt points specified in

section 39.9.D below.

All existing Mid numbers and any other future Mid Number adding

production either wholly owned or jointly owned and operated by

XTO.

Appalachian Pooling South Point

F. Contract Quantities:

Quantities vary based on actual usage.

G. Affirmation:

The effective service agreement does not deviate in any

material aspect from the form of service agreement in

this tariff.
