GENERAL TERMS AND CONDITIONS
Negotiated Rates
39.7 Contract 200407 effective November 1, 2004, through October 31,
2005 and year to year thereafter until DTI or WPS terminates the
contract.
A. Company Name:
WPS Syracuse Generation, LLC ("WPS")
B. Negotiated Rate or Rate Formula:
During the period November 1, through March 31,
("Winter Period") Dominion shall charge WPS
(i) $0.40 times the quantity (Dt) actually
transported in the winter period invoiced monthly and
(ii) if WPS has transported less than 600,000
Dt during the winter period, $0.40 times the difference
between the quantity actually transported and 600,000 Dt,
invoiced for the last month in the winter period.
During the period April 1, through October 31,
("Summer Period") Dominion shall charge WPS
(i) $0.18 times the quantity (Dt) actually transported
in the summer period invoiced monthly and (ii) if WPS
has transported less than 900,000 Dt during the
summer period, $0.18 times the difference between the
quantity actually transported and 900,000 Dt, invoiced
for the last month of the summer period.
The negotiated rate agreement includes an exclusivity
provision, that provides that if WPS uses any other
transporter to supply gas to its facility, the negotiated
rate agreement will terminate and Dominion shall charge
maximum transportation rates for any gas transported
for the remaining term of the contract.

F. Contract Quantities:
A Maximum Daily Transportation Quantity ("MDTQ") of
15,000 Dekatherms per Day.
Maximum Annual transportation Quantity("MATQ") of
4,785,000 Dt.
G. Affirmation:
The effective service agreement does not deviate in any
material aspect from the form of service agreement in
this tariff except that Article III contains a 45 day
termination notice instead of a 12 month notice.
