GENERAL TERMS AND CONDITIONS

Negotiated Rates

39.3 Contract 200223 effective April 1, 2003 through March 31,

2004 and year to year thereafter until DTI or RG&E

terminates the contract.

A. Company Name:

Rochester Gas and Electric Corporation (RG&E)

B. Negotiated Rate or Rate Formula:

During the period April 1 through October 31 Dominion

shall charge RG&E the higher of (i) $0.1400 for each Dt

transported or (ii) $0.1400 times 565,000 Dt.

During the period November 1 through March 31 Dominion

shall charge RG&E the higher of (i) $0.3225 for each Dt

transported or (ii) $0.3225 times 250,000 Dt.

Should RG&E use any other transportation to meet its

needs at the Hume delivery point, this negotiated rate

agreement shall terminate and RG&E will be charged the

maximum FT rates for the remainder of the contract term.

A Maximum Daily Transportation Quantity("MDTQ") of

12,100 Dekatherms ("Dt") per Day; and a Maximum Annual

G. Affirmation:

The effective service agreement does not deviate in any

material aspect from the form of service agreement

except as noted in the March 9, 2005 RP96-383 filing.
