GENERAL TERMS AND CONDITIONS

Negotiated Rates

39.2 Replacement Contract 529683 effective November 1, 2007 through December 31, 2013

A. Company Name:

Sequent Energy Management, LP (Sequent)

B. Negotiated Rate or Rate Formula:

Effective for the period commencing November 1, 2007, and ending December 31, 2013,

the following charges, as a negotiated rate for Part 284 service, shall be 1) when

primary points are used, Sequent shall pay DTI the Lebanon to Leidy and Leidy to

Market reservation rates, plus all applicable surcharges on Sheet No. 36 of DTI's

tariff and the base usage rate under Rate Schedule FT on Sheet No. 32, plus the ACA

surcharge; and 2) when secondary points are used during the month, Sequent shall

pay for that month the above reservation rates plus all applicable surcharges

(including TCRA 858, TCRA Surcharge, EPCA Base, and EPCA Surcharge) under Rate

Schedule FT and the maximum Part 284 usage rates.

Sequent also agrees that DTI shall reduce the quantities tendered to DTI by the gas

used by DTI for fuel at the following rate:

1. Until the effective date upon which DTI implements a change in its existing

fuel retention mechanism, the fuel retention rate shall equal the sum of: a)

the base fuel retention rate shown on Sheet No. 32 for Rate Schedule FT

service; and b) the Incremental Facilities Fuel Surcharge shown on Sheet No.

37 applicable to Rate Schedule X-74 capacity; and

2. On the effective date upon which DTI implements a change in its existing fuel

retention mechanism, the fuel retention rate shall be the higher of the:

a)the sum of: 1) the base fuel retention rate shown on Sheet No. 32 for Rate

Schedule FT service; 2) the Incremental Facility Fuel Surcharge shown on

Sheet No. 37 applicable to Rate Schedule X-74 capacity; plus 3) any fuel

surcharges or adders applicable to recourse Rate Schedule FT customers, or b)

the applicable fuel retention rate, including any fuel surcharges or adders

applicable to recourse Rate Schedule FT customers.

The effective service agreement does not

deviate in any material aspect from the form of

service agreement in this tariff.
