RATE SCHEDULE S-1

GENERAL UNBUNDLED SALES SERVICE

3. RATE

3.1 The rate for natural Gas sold under this Rate Schedule shall be

negotiated between the Buyer and Seller and shall be specified in

the Agreement between the Buyer and Seller but shall not be posted

in this Tariff and shall not be subject to the jurisdiction of the

FERC.

4. FLOW RATES TO RECEIPT POINTS.

4.1 Daily flow rates shall be as specified in the Agreement between

Buyer and Seller.

5. HEAT CONTENT, GAS QUALITY, AND MEASUREMENT BASE

5.1 The Parties shall specify the heat content, Gas quality, and

measurement base in the Agreement.
