RATE SCHEDULE TF-1

TRANSPORTATION SERVICE - FIRM

1. AVAILABILITY

1.1 This Rate Schedule is available to any Party (hereinafter referred

to as "Shipper") for the Transportation of natural Gas on a firm

basis by Transporter when:

(a) Shipper makes a complete request for Transportation Service in

accordance with Section 4 of the General Terms and Conditions;

(b) Transporter has determined that, other than necessary tap(s),

valves, measurement equipment and other minor facilities

necessary to effectuate service at any new or existing Point of

Receipt or Delivery (which Transporter shall provide upon

written request and on a not unduly discriminatory basis at

reasonable, mutually agreeable locations which will not

adversely affect the existing operation of Transporter's system

or significantly alter the operation of the pipeline system),

Transporter has available or will secure sufficient uncommitted

capacity to provide the service requested by Shipper as well as

Transporter's other firm service commitments;

of the General Terms and Conditions, including the

creditworthiness requirements specified in Section 4.14 of the

General Terms and Conditions; and

(d) Shipper and Transporter have executed a Firm Transportation

Service Agreement (Agreement) pursuant to the terms of this

Rate Schedule. However, if Shipper has met all of the

requirements set forth in this Section 1 except for the

requirement set forth in this Section (d), and Shipper has

provided Transporter a complete written request to initiate

service prior to executing an Agreement, Transporter may agree

to provide service for up to 30 Days without an Agreement

provided that, prior to initiating service, Shipper pays the

agreed-upon reservation charges, commodity charges,
