10.3 This Agreement includes Exhibits "A" and "B", which are

incorporated fully herein and made a part hereof.

10.4 Modifications to this Agreement shall not become

effective except by execution of an amendment thereto.

10.5 This Agreement shall be governed by and interpreted in

accordance with the laws of the State of Delaware, without recourse

to the law governing conflicts of laws, and to all present and

future valid laws with respect to the subject matter, including

present and future orders, rules and regulations of duly

constituted governmental authorities.
