ARTICLE XII

Miscellaneous

12.1 This Agreement shall bind and benefit the successors and

assigns of the respective parties hereto; provided however, neither

party shall assign this Agreement or any of its rights or

obligations hereunder without first obtaining the written consent

of the other party.

12.2 No waiver by either party of any one or more defaults by

the other in the performance of any provisions of this Agreement

shall operate or be construed as a waiver of any future defaults of

a like or different character.

12.3 This Agreement includes Exhibits "A","B","C" and "D",

which are incorporated fully herein and made a part hereof.

12.4 Modifications to this Agreement shall not become

effective except by execution of an amendment thereto.

12.5 This Agreement shall be governed by and interpreted in

accordance with the laws of the State of Delaware, without recourse

to the law governing conflicts of laws, and to all present and

future valid laws with respect to the subject matter, including

present and future orders, rules and regulations of duly

constituted governmental authorities.
