PRELIMINARY STATEMENT

Eastern Shore Natural Gas Company (Eastern Shore) is a

company engaged in the business of transporting natural

gas in interstate commerce and subject to the

jurisdiction of the Federal Energy Regulatory Commission.

Eastern Shore owns and operates a natural gas pipeline

system in the states of Pennsylvania, Maryland and

Delaware.
