5.1 As of the effective date of execution of Exhibit A attached to this

Agreement, such executed exhibit is hereby incorporated by reference as

part of this Agreement. The parties may amend Exhibit A by mutual

agreement, which amendment shall be reflected in a revised Exhibit A and

shall be incorporated by reference as part of this Agreement.

5.2 OTHER THAN AS MAY BE SET FORTH HEREIN, SOUTHERN STAR MAKES NO OTHER

WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION

WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE OR MERCHANTABILITY.
