FORM OF TRANSPORTATION

SERVICE AGREEMENT

FOR RATE SCHEDULE IT

4.0 TERM OF AGREEMENT

4.1 This Transportation Service Agreement shall continue and remain in

full force for a period of ____________from the effective date

hereof, and thereafter unless terminated by either party giving

notice of termination not less than ninety (90) Days prior to

commencement of any contract Month.

4.2 This Transportation Service Agreement supersedes and cancels as of

the effective date hereof the following contracts between the

Parties hereto:

5.0 ASSIGNS

This Transportation Service Agreement shall be binding upon, and inure

to the benefit of the Parties hereto and their respective successors and

assigns.

6.0 NOTICES

Except as herein otherwise provided, any notice, request, demand,

statement, bill or payment provided for in this Transportation Service

Agreement, or any notice which any Party may desire to give to the other

shall be in writing and shall be considered as duly delivered when

mailed by registered or ordinary mail to the post office address of the

Parties hereto, as the case may be, as follows:
