AFFILIATED TRANSACTIONS

19.1 Relationship with Marketing Affiliates

Chandeleur, an interstate natural gas

pipeline, is a wholly-owned subsidiary of Chevron

Pipe Line Company (CPL). CPL is wholly owned by

ChevronTexaco Global Energy Inc. which, in turn,

is wholly owned by ChevronTexaco Corporation via

certain ChevronTexaco Corporation subsidiaries.

CPL and Chandeleur perform no marketing, brokering

or sales of natural gas.

Chandeleur's affiliate involved in selling,

brokering and marketing of natural gas is

ChevronTexaco Natural Gas, a Division of Chevron

U.S.A. Inc. Chevron Texaco Natural Gas is owned

by Chevron U.S.A. Holdings Inc. & Texaco

Exploration & Production Inc.

(a) Chandeleur has no employees. Chandeleur's

operations are accomplished through a

management agreement with CPL. CPL, in turn,

has entered into a service agreement with

Chevron U.S.A. Inc. to perform certain field

operating and maintenance responsibilities.
