RATE SCHEDULE PALS

Parking And Lending Service (Continued)

D. To the extent tendered by Shipper or Shipper's agent, Transporter shall

receive from Shipper, or for the account of Shipper, at points on

Transporter's system (hereinafter referred to as "PALS Point(s)") for parking

or repayment of loaned natural gas at the PALS points specified in Shipper's

Parking and Lending Service Agreement. Such quantities received shall be

credited to Shipper's Parking and Lending Account.

E. Transportation Requests

The specific information required from a Shipper for a valid request for

service under this Rate Schedule PALS must be provided to Transporter in

accordance with Section 22.A of the General Terms and Conditions.

F. Execution of Service Agreement

Shipper shall return to Transporter the fully executed PALS Service Agreement

within thirty (30) days after receipt thereof. In the event Transporter does

not receive the fully executed Service Agreement within thirty (30) days,

Shipper's request for service under this Rate Schedule shall be null and void.

Service shall commence under this Rate Schedule PALS on the effective date of

the Parking and Lending Service Agreement, but in no event prior to

Transporter's receipt and acceptance of any necessary regulatory authorization

to provide service to Shipper in accordance with the terms of this Rate

Schedule and such executed Service Agreement, and further, in no event shall

service be provided prior to the in-service date of any facilities necessary

to provide such service. Gas received for service hereunder may be commingled

with other gas in Transporter's system, and the specific gas made available by

Shipper or for Shipper's account for transportation may not be the same gas

delivered to Shipper or for its account.
