8.7 If the invoice is in dispute, the Shipper shall pay the
portion not in dispute and provide documentation identifying the
basis for the dispute. The time limitation for disputes of
allocations should be six months from the date of the initial
month-end allocation with a three month rebuttal period. This
standard shall not apply in the case of deliberate omission or
misrepresentation or mutual mistake of fact. Parties other
statutory or contractual rights shall not otherwise be diminished
by this paragraph.
8.8 Transporter shall not be required to perform or to continue
service under any Rate Schedule for any Shipper who is or has become
insolvent or who, at Transporter's request, fails within a reasonable
period to demonstrate credit worthiness; provided, however, such Shipper
may receive service if Shipper prepays for such service or furnished good
and sufficient security, as determined by Transporter in its reasonable
discretion, in an amount equal to the cost of performing the service
requested by Shipper for a three (3) month period. Such cost of performing
the service shall include, but not be limited to, the projected cost of
transporting Shipper's gas or the equivalent of the cost of gas owed
Transporter by the Shipper under an imbalance.
ARTICLE IX
MISCELLANEOUS
9.1 Any modification of terms or amendment of provisions of
the Agreement shall become effective only by supplemental written
agreement between the parties.
