16/ [Yates k552048 Amended and Restated] The term of this Amended and

Restated Negotiated Rate Agreement shall commence on August 1, 2008 and

shall continue until the earlier of: i) the expiration date of the Firm

Transportation Service Agreement (FTSA) on the date which is ten (10)

years from the date REX West is placed in service to the PEPL point in

Audrain County, Missouri, as such term may be extended in accordance

with its provisions or ii)the effective date of a superseding FTSA and

new Negotiated Rate Letter Agreement, as discussed below.

If Certificate 2 and 3 Segment ("REX EAST") facilities are approved, a

superseding FTSA ("REX EAST FTSA") and a new Negotiated Rate Letter

Agreement ("REX System Negotiated Rate Letter Agreement") replacing

this Negotiated Rate Agreement, will be entered into to incorporate

the new delivery points, rates and other terms that pertain to REX EAST

and contained in the Precedent Agreement. The REX EAST FTSA and the

REX System Negotiated Rate Letter Agreement shall become effective on

the in-service date of REX EAST.

Until the in-service date of the REX East initial service, Shipper's

Reservation Rate shall be $24.1508 per Dth per month and shall apply to

service provided at the following primary receipt and delivery points:

All primary receipt and delivery points located in Zones 1 and 2

of Transporter's pipeline system, including primary receipt and

delivery points on Transporter's system which are located on the

Overthrust Lease Facilities, as that term is defined in

Transporter's Tariff.

The negotiated reservation rate shall also apply to all Receipt and

Delivery Points within Zones 1 and 2 on a secondary basis, including

Receipts and Deliveries via the Overthrust Lease Facilities as defined

by the Tariff, provided that receipts entering Transporter's system via

the Meeker or Cheyenne Hub Facilities shall incur the applicable Hub

Facilities maximum rate for service and associated FL&U%, as set forth

in this Tariff.
