accordance with paragraph 5 in order to keep the confirmed nominations and the
Operational Imbalances within the applicable tolerance. The Parties will orally notify
each other of such adjustment prior to making the adjustment, with written notice given
as soon as reasonably possible. Operator shall also provide notice to shippers when
daily Operational Imbalances exceed the [tolerance].
(4) The actual measured quantity at the Interconnection Point each Month shall be
determined and communicated by the measuring Party in writing to the other Party as
soon as reasonably possible after the end of the Month, but in no case later than the
___________ Day of the Month following the last Day of the Month gas was delivered.
The actual measured quantity shall be determined pursuant to the applicable provisions
of the measuring Party's then-effective FERC Gas Tariff. Operational Imbalances shall
be calculated initially by __________ and shall be agreed to in writing by the Parties
prior to the _____________ Day of the Month. The Parties shall correct any resulting
Operational Imbalance for that Month by ___________.
(5) If a capacity constraint occurs on either Party's natural gas facilities which results
in curtailment of quantities of gas through or after delivery and receipt of the gas at
the Interconnection Point, the Party on whose natural gas facilities the constraint has
occurred shall determine the reallocation of the quantity of gas to Shippers on its
natural gas facilities in accordance with the provisions of its then-effective FERC Gas
Tariff. Such Party shall promptly orally notify the other Party of the constraint and
the reallocation of the quantity of gas to its Shippers, such notice to be confirmed in
writing as soon as reasonably possible but not less than twenty-four hours after the
occurrence of the constraint and the reallocation of the quantity of gas. If the
constraint occurs at the measuring facilities at the Interconnection Point, the
constraint shall be deemed to be on the natural gas facilities of the Party that
operates those facilities.
(6) Measurement of gas for all purposes hereunder shall be in accordance with the
provisions set forth in the measuring Party's then-effective FERC Gas Tariff.
(7) This agreement shall be effective as of ____________________ and shall continue until
___________________ and from _______ to _______ thereafter until cancelled by either
party upon not less than ______________ prior written notice. Any remaining
