OPERATIONAL BALANCING AGREEMENT

BETWEEN

ALGONQUIN GAS TRANSMISSION, LLC

AND

This Agreement is entered into as of the ___ day of _________, ____, by

_______________________________________________ ("Operator") and Algonquin Gas Transmission,

LLC ("Algonquin"), collectively referred to as "Parties" or individually referred to as a

"Party."

WHEREAS, the natural gas facilities operated by Operator and by Algonquin interconnect

at the Interconnection Point specified on Exhibit 1 attached hereto;

WHEREAS, Algonquin and/or Operator have entered into one or more transportation

agreements with various shippers ("Shippers") whereby Algonquin and/or Operator either

receive natural gas ("gas") that Shippers cause to be delivered at the Interconnection Point

or deliver gas that Shippers cause to be received at the Interconnection Point;

WHEREAS, from time to time, the quantity of gas delivered to or by Algonquin or

Operator at the Interconnection Point is either greater or less than the quantity of gas

nominated by Shippers and confirmed by Algonquin or Operator, resulting in inadvertent over-

or under-deliveries of the Shippers' nominated quantities;

WHEREAS, the Parties desire to provide for the elimination of such over- and under-

deliveries by adjusting Shipper's nominations and/or deliveries and receipts of gas at the

Interconnection Point;

NOW, THEREFORE, Algonquin and Operator agree that such over- or under-deliveries of gas

at the Interconnection Point shall be eliminated in the following manner:

(1) Prior to the first Day of each Month, each Party shall notify the other Party in

writing of the confirmed, scheduled nominations in Dth received by such Party from

shippers for whom such Party will deliver or receive gas at the Interconnection Point

during that Month. Notification of changes to such confirmed nominations shall be made

orally as soon as reasonably possible, with written notice provided prior to the Day of

the change in gas flow.
