32.FUEL REIMBURSEMENT QUANTITY (continued)

(1) The cash balance in the FRQ Deferred Account, exclusive of carrying charges

accrued pursuant to this subsection (b), net of the related deferred tax

amounts, if any, as of the end of the immediately preceding Month.

(2) The annual interest rate as set forth from time to time in Section 154.501

of the Commission's regulations divided by 365, or 366 in a leap year, and

then multiplied by the number of days in the applicable Month.

(c) Calculation of Surcharge or Refund. With each annual filing hereunder Algonquin

payable sixty days after the Commission's acceptance of the annual filing.

32.6 Procedure for Filing. At least thirty days prior to the effective date of a

change in the FRP hereunder, Algonquin shall file with the FERC revised tariff

sheets setting out the proposed change and supporting workpapers showing the

calculations developing such proposal. Algonquin shall file annually to revise

the FRPs as provided in Section 32.3 herein and surcharge or refund as provided

in Section 32.5 herein effective on December 1 of each year. Algonquin may file

interim proposals between annual filings subject to approval by the Commission.
