STATEMENT OF NEGOTIATED RATES 1/

Customer Name: KeySpan Gas East Corporation D/B/A/ National Grid

Service Agreement: Contract No. 510369

Negotiated Rate Term: The term of this negotiated rate ("Negotiated Rate Term") commences on

the date service commences under the Service Agreement specified above and continues through the

end of the 15 year Primary Term of such Service Agreement. Algonquin and Customer agree that

such Service Agreement will be a ROFR Agreement pursuant to the terms of Algonquin's FERC Gas

Tariff and will remain a ROFR Agreement following the end of the Negotiated Rate Term.

Rate Schedule: AFT-1 (Docket No. CP06-76, Ramapo Project)

For the Period: Maximum Daily Transportation Quantity

Nov 1, 2008 - Oct 31, 2009 171,500 dth/d

Nov 1, 2009 - end of Primary Term 196,000 dth/d

Reservation Rate: Customer shall pay a rate of $10.71 per Dth, per month of Customer's MDTQ

under the Service Agreement specified above during the Negotiated Rate Term.

Usage Rate: The usage rate to be paid by Customer under the Service Agreement specified above

during the Negotiated Rate Term shall be zero. Customer shall also pay the applicable Annual

Charge Adjustment ("ACA") and other FERC-prescribed surcharges of general applicability, and

Fuel Reimbursement Quantity ("FRQ") charges for service under the Service Agreement specified

above. The usage rate set forth herein shall apply to any replacement customer pursuant to a

capacity release in accordance with Section 14 of the General Terms and Conditions of

Algonquin's FERC Gas Tariff.

Recourse Rate(s): The Recourse Rate(s) are the maximum rate(s) stated on Algonquin's currently

effective Statement of Rates for Rate Schedule AFT-1 for the Ramapo Project.

FOOTNOTES:

1/ This negotiated rate transaction does not deviate in any material respect from the applicable

form of service agreement set forth in Algonquin's FERC Gas Tariff. This negotiated rate

shall apply only to service under the Service Agreement specified above, up to Customer's

specified MDTQ, using the receipt and delivery points designated herein, and any secondary

receipt and delivery points available under Rate Schedule AFT-1.
